Community Owner Agreement
Version: v2 (24 Oct 2026)
Effective date: 25 October 2026
1 Parties and scope
This agreement is between NADI ONLINE FZ-LLC, RAKEZ licence 45038620 (Nadi, we or us), and the person or business accepting it as the community owner (you). If accepting for a business, you confirm that you may bind it. Your community is the room you operate on Nadi; members are its users. Paid access means a membership, course or event sold through Nadi where that purchase is available.
This agreement applies when you set a price and sell paid access on Nadi. Before your first payout, you confirm it and give your correct name and country. Meet the owner eligibility requirements in the Terms of Service. Nadi's Terms, Content Policy, Refund and Cancellation Policy and Privacy Policy also apply. If this agreement and the Terms say different things about selling, fees, payouts or liability, this agreement applies to you as an owner. This agreement governs owner commercial terms, subject to mandatory law and existing transition protections. It does not transfer earlier contracts to Nadi or remove accrued rights merely by being published or accepted.
2 What each of us provides
Nadi is the seller and merchant of record of paid access and Nadi plans: members buy from Nadi, which issues receipts and handles billing, refunds, cancellations and payment disputes. Our payment partners process payments and may differ by country or payment method. Availability depends on supported countries, completed checks and the payment services actually enabled.
You provide and run the community, its content, teaching, events and member support about that content. Describe what members receive, access periods and any release schedule accurately. Set your prices in US dollars. Nadi may refuse or remove a price or offer that breaks our rules or the law. Do not direct members outside Nadi to pay for access sold through Nadi or promise conflicting billing or refund terms.
3 Content and conduct
You keep ownership of your content. You grant Nadi a non-exclusive licence to host, reproduce, format, display and deliver it, and to sell member access as described in your offer. Nadi may use service providers for these purposes. You must have the rights and permissions needed for content, recordings and participant contributions you supply. This licence continues only as needed to fulfil existing paid access and retain lawful records and backups after closure.
Follow the Content Policy, including prohibited and regulated offers. A professional licence does not override a prohibition. Take reasonable action on unlawful or abusive content once you know about it, and supervise your room team. Nadi staff and authorised room team members may remove posts from Explore; removal from Explore does not necessarily delete the original community post. Explore placement or audience reach is not guaranteed.
4 Recordings and AI assistance
Tell people before you record, and get the permissions you need to record, share and reuse it. Turning a camera off does not stop someone's voice being recorded. Don't promise that every session will be recorded. AI drafts meant for members are never posted until you or a co-owner approve them, and you are responsible for what you post.
5 Fees and your share
For each member payment, Nadi takes the percentage for your plan shown on the pricing page (today Free 9%, Pro 5%, Max 1%), plus the actual card processing fee for that payment. Your share is the amount left after the applicable fees and adjustments described here. Existing trial-origin pricing and expressly agreed offers continue on their disclosed terms. Nadi plan fees are separate, billed in advance at the price and interval accepted at checkout; cancellation stops the next renewal. Partial-period plan refunds follow the Refund and Cancellation Policy and mandatory law.
If your account existed before 12 October 2026, Nadi pays the card processing fee until 11 November 2026. Accepting this agreement does not shorten that. Billing records distinguish fees, your share and adjustments; an estimated or held amount is not a completed payout. Charges for optional services require the terms and authorisation applicable to that service.
6 Prices and currency
Prices and currency follow the "Prices and currency" part of Terms section 6. Community owners see their earnings in USD; payouts may be paid in AED at the same fixed rate (AED 3.6725 for USD 1).
7 Payouts and holds
Subject to existing transition protections, a payment becomes eligible for payout after the standard hold of 7 days (168 hours). Eligibility also requires confirmed settlement and reconciliation, completed checks, and no applicable refund, dispute or other hold. We process eligible payouts weekly on Mondays, or the next business day, through our bank or a licensed payout provider to your own verified account. A payable balance below USD 100 carries forward. The actual fee for sending the payout is deducted from it. Processing a payout is not a promise that your bank credits it that day.
We may hold affected amounts while identity or payout checks are incomplete, payment records are unresolved, or we reasonably suspect fraud or face refunds or disputes. We explain the reason and what is needed to resolve it unless prohibited by law. We review every hold at least every 30 days. A hold is never forfeiture: cleared money goes out on the next Monday payout.
We do not keep a general reserve from your earnings, and we never deduct the same amount twice.
8 Refunds and disputes
Refunds. Nadi handles member refunds under the Refund and Cancellation Policy: a full refund within 7 days (168 hours) of each payment, including renewals, and after that for non-delivery, cancelled events or the member's legal rights. If Nadi closes a community, members get back the paid time they did not receive. We reply within 2 business days and refund within 5; banks can take up to 15 business days to show it.
What a refund costs you. A refund takes back your share of the refunded amount, from your balance or future payouts. Nadi gives back its own percentage on that amount. You also bear any card or refund fee our payment provider does not return to us, unless our error caused it.
Chargebacks. Nadi answers bank disputes. Send the delivery records we ask for within 5 business days, or by an earlier bank deadline we tell you. Missing it does not by itself make you liable. If a dispute is lost, only your share of that sale is taken back. You pay the chargeback fee only if your non-delivery, misrepresentation or breach caused it; otherwise Nadi pays it.
Negative balance. We take it from future payouts first. Anything still owed is due within 30 days of an itemised invoice. We never debit your bank or card automatically.
9 Identity and payout checks
Before your first payout, complete identity verification, including government photo ID and a live identity check, and provide accurate legal, country and payout details. A business must supply relevant registration and ownership information. Additional information may be needed for sanctions, politically exposed person or other compliance checks by Nadi and our payment partners. Update changed details promptly. We do not promise a payout method or country will be supported, or release funds where payment is prohibited.
Your paid offers identify Nadi as seller and show your owner name. Your identity documents are for verification, not public display.
10 Data and taxes
Use member data only as lawfully needed to run the community, protect it, and follow the Privacy Policy. Do not sell member contact details or use them for unrelated marketing. Inside your community, you are the controller of member data and Nadi is your processor, as the Privacy Policy says. For accounts, payments, fraud and identity checks and legal duties, Nadi is the controller.
You are responsible for taxes on your income and any required owner registrations. Nadi remains responsible for obligations imposed on it as seller. Each party supplies information reasonably needed for correct invoices, tax treatment and reporting. This agreement does not exempt either party from tax or defer a legal obligation.
11 Suspension and ending
We may pause sales, suspend access or end this agreement for breach, fraud, serious safety risk or legal necessity. Where reasonable, we explain why and allow a remedy; urgent action may be immediate. You may stop new sales at any time. Existing paid access must be fulfilled or the unused part refunded; ending this agreement does not erase money already owed.
For ordinary termination by Nadi, we give 30 days' notice; immediate action for the safety or legal reasons described above remains available. On final closure, the USD 100 minimum is waived. We pay cleared money on the next Monday payout after the 7-day hold and checks, minus only the transfer fee. If that fee would be more than the balance, we ask you how to pay it; we never keep it. We hold back only money tied to an open refund or dispute, review it every 30 days, and pay out what clears. Payment reconciliation, accrued claims, lawful record retention and the limited continuing content licence survive termination.
12 Responsibility and liability
Nadi does not guarantee income, audience growth or uninterrupted service. You are responsible for your advertised offering and rights in material you supply. Nadi's liability to you is capped at the greater of USD 100 and the total of Nadi's plan fees paid by you plus Nadi commissions earned from your community during the preceding 12 months. The cap excludes owner balances owed, refunds due, fraud and liabilities that cannot lawfully be limited. Each party covers reasonable third-party claim costs caused by its own breach or infringement. The party receiving a claim must promptly notify the other affected party and allow it to participate in the defence. Neither party may settle a claim in a way that imposes obligations on the other without that party's consent. No limitation may reduce a member's mandatory rights or exclude liability that cannot lawfully be excluded. Amounts properly owed to an owner are payment obligations, not a discretionary damages allowance.
13 Changes and notices
Material agreement or fee changes are posted with at least 30 days' notice, following the Terms of Service. They do not retrospectively change settled transactions or remove existing notice protections. You may stop future sales before a change takes effect while fulfilling existing obligations. Contact Nadi at support@nadi.online; keep your account contact details current.
14 Governing law
The governing law and courts are those of Dubai, United Arab Emirates, as currently stated in the Terms of Service, subject to mandatory legal protections.
