Terms of Service
Last updated 23 October 2026
Change of 23 October 2026: section 6 now explains prices and currency: prices are shown in US dollars, and some payments may be charged in UAE dirhams at a fixed rate shown before you pay. The previous version of 14 October 2026 is kept for reference.
Change of 14 October 2026: Nadi is now the seller of every paid membership, course, event and plan. NADI ONLINE FZ-LLC is the merchant of record, issues the receipt, and handles payments, refunds, cancellations and chargebacks (sections 1, 5, 6 and 8). Owners provide and license the content, keep ownership of it, and are paid their share weekly under the Community Owner Agreement. Card payments through Nadi open soon. Section 3 now says that we have zero tolerance for objectionable content and abusive users, and how to report and block them. The previous version of 12 October 2026 is kept for reference.
Change of 12 October 2026: section 6 now adds the card processing fee on top of our percentage, and pays out weekly instead of monthly, with a USD 100 minimum, a 7-day wait on each payment and the transfer fee taken from the payout. Weekly payouts apply to every owner from 14 October 2026. The rest of this change applies to anyone who opens an account from 12 October 2026, and to everyone else from 11 November 2026. Until 11 November 2026, we pay the card processing fee for communities owned by people whose accounts existed before 12 October 2026. The previous version of 9 October 2026 is kept for reference.
Change of 9 October 2026: you must be at least 18 to create or run a community (sections 2 and 5). It applies to anyone who becomes an owner or co-owner of a community from 8 November 2026; people who already own or co-own one keep it. The previous version of 17 September 2026 is kept for reference.
Correction of 17 September 2026: section 6 now says that new purchases through Nadi are not available, and that payments already made and existing PayPal subscriptions are handled by PayPal until they end. The previous version of 16 September 2026 is kept for reference.
These terms are the agreement between you and NADI ONLINE FZ-LLC (RAKEZ licence 45038620) ("Nadi", "we", "us") covering your use of Nadi and everything on it. By creating an account or joining a community you accept them. If you are accepting on behalf of a company, you confirm you are allowed to bind it.
These terms are published on 17 September 2026. Publication does not by itself transfer any earlier agreement to NADI ONLINE FZ-LLC, release any person from existing obligations, or affect existing purchases, access, refunds or claims. Any transfer of an earlier agreement will follow applicable legal requirements, including notice and consent where required.
1. What Nadi is
Nadi is a platform for running paid and free communities — which we call communities. Each community has an owner. The owner decides what the community teaches, who may join, what it costs, and how it is moderated.
We provide the software. Nadi sells every paid membership, course, event and plan on Nadi: NADI ONLINE FZ-LLC is the seller and merchant of record, issues the receipt, and handles payments, refunds, cancellations and disputes. The owner provides the community's content and teaching, licenses it to us so we can sell access to it, and keeps ownership of it. We review paid communities against our rules but do not endorse them, and we do not guarantee results from any community. If a community does not deliver what it described, our Refund and Cancellation Policy applies.
2. Your account
- You must be at least 16 years old to hold an account, and at least 18 to create or run a community (see section 5 for when this applies).
- Give accurate details and keep them current. One account per person; do not share credentials or let someone else use yours.
- You are responsible for everything done through your account. Tell us promptly at support@nadi.online if you think it has been compromised.
- You can close your account at any time from account settings. Closing it ends your access to every community you belong to, including ones you have paid for, and does not by itself entitle you to a refund.
3. Acceptable use
You agree not to use Nadi to:
- break the law, or help anyone else do so, including infringing someone's copyright, trademark, or privacy;
- harass, threaten, impersonate, or incite violence or hatred against anyone;
- post sexual content involving minors, or any content that sexualises a real person without their consent;
- send spam or unsolicited promotion, whether in a feed, a comment, or a direct message;
- upload malware, probe or interfere with our infrastructure, or circumvent access controls, rate limits, or payment;
- scrape or bulk-collect data about other members, or use anything you find here to train a machine-learning model without permission;
- resell or sublicense access to a community you did not create, or share paid material outside it.
Owners and moderators enforce their own community's rules. We enforce these ones across the whole platform, and our decision is the final one on our own service.
Zero tolerance. Nadi has no tolerance for objectionable content or abusive users. You can report any post, comment or person from the app or the website, report a message from the app, and block anyone. We review reports within 24 hours, remove content that breaks these Terms and remove the people who post it.
4. Your content
You keep ownership of everything you post — posts, comments, courses, lessons, uploads, messages. Nothing here transfers your copyright.
You do grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for display, and distribute your content, strictly so that we can operate the service: showing your post to the community you posted it in, generating thumbnails, backing it up, and so on. The licence lasts as long as the content is on the platform, plus a short period for backups to expire. We do not use your content to advertise, and we do not sell it.
You confirm you have the rights to everything you post, and that posting it does not break anyone else's.
5. If you run a community
Owning a community adds obligations. As an owner you agree that:
- you are at least 18 years old. At 16 or 17 you can hold an account and join communities, but you cannot create, own or co-own one. This applies to anyone who becomes an owner or co-owner from 8 November 2026;
- you will deliver what you advertise, and describe pricing, access, and any drip schedule accurately before someone pays;
- you provide your community's content and answer members' questions about it. Nadi is the seller of paid access and handles payments, refunds and disputes under the Community Owner Agreement, which you accept when you turn on paid access. Your name is shown with your paid offers, and we check your identity before your first payout;
- you will not offer anything listed in "What can't be sold on Nadi" on the Content Policy page;
- you are responsible for your own taxes, including any sales tax or VAT on what you charge, and for any professional licensing your subject requires;
- you will handle your members' personal data lawfully. For data inside your community you are the controller and we are your processor — see the Privacy Policy;
- you will not use member contact details for anything beyond running your community;
- you remain responsible for what your moderators do, and for content your members post, once you know about it.
6. Payments and fees
Running a community costs a monthly or yearly plan fee, plus a percentage of what you charge your members. Current figures are on the pricing page and form part of these terms. Plan fees are billed from the day you choose a paid plan.
- Card payments through Nadi open soon. The checkout shows the amount and currency charged. Subscriptions started earlier through our previous processor continue under that processor's terms until they end. We never see or store full card numbers.
- From each member payment we deduct the percentage shown on the pricing page plus the card processing fee charged for that payment. Your community's billing page shows how each payment split: our percentage, card processing, and your share.
- Your share of member payments is paid out weekly, on Mondays (or the next business day), only to your own verified payout account, through our bank or a licensed payout provider. A payment becomes payable 7 days (168 hours) after it is made. If your payable balance is under USD 100, it rolls over to the next payout. The fee for sending a payout is taken from that payout. We may hold a payout where we reasonably suspect fraud or a wave of chargebacks, or while checks on your payout account are pending.
- Nadi handles refunds and chargebacks. When a payment is refunded, or a chargeback is lost, your share of that payment and any chargeback fee are deducted from your balance or future payouts.
- Plan fees are billed in advance and are not refundable for part of a period. Cancelling stops the next renewal; your community stays open until the period ends.
- We can change our fees on 30 days' notice. Continuing to run your community after that is acceptance.
- The free plan currently has no cap on members, courses, video storage or live calls. Video delivery costs us money per view, so we may introduce usage limits on the free plan in future — on the same 30 days' notice, and never retroactively to content you have already published. Paid plans are unaffected.
- The free plan covers one community per account; additional communities need a paid plan.
- Nadi hosts video for communities, not as general file storage. Storage that is not being used by a community — uploaded at scale and never watched — may have further uploads paused after we contact you. Content already published is never deleted for this reason.
Prices and currency
Prices on Nadi are shown in US dollars (USD). Depending on the payment method available to you, a payment may be charged in UAE dirhams (AED) at the fixed rate of AED 3.6725 for USD 1. When it is, the checkout shows the amount in AED before you pay, for example "Charged as AED 106.50 (= $29.00)". Your bank or card issuer may add its own currency conversion or foreign transaction fee; Nadi does not receive or control that fee. A refund is paid in the currency of the original charge, up to the amount charged. Community owners see their earnings in USD; payouts may be paid in AED at the same fixed rate.
7. Software from community owners
Some communities hand their members software — a plugin, a script, an app — that works for as long as the membership does. That software is the owner's product, not ours. We host the file for them; we did not write it, we do not publish or endorse it, and we do not warrant it. Whether it works, whether it is safe, and whether it does what it promises are between you and the owner.
Our part is narrow: we issue the licence keys, and we answer the product's question of whether a membership is still active. Nothing else. That answer is deliberately forgiving — a product may cache an approval for about seven days, and it keeps working through that window even if we are unreachable. Only a genuine "this membership has ended" answer stops anything.
- Keys last as long as the membership. When it ends they stop verifying, and the product stops once its cached approval runs out. Rejoin and the same key works again.
- Do not share a key with anyone, and do not alter a product to get past its licence check.
- We may take an item down if it breaks these terms or the law. A taken-down item stops being available, and keys for it stop verifying.
Buying an item on its own is not open yet. When it is, refunds and what a purchase entitles you to will be set out here before anyone is charged.
8. Suspension and termination
We may suspend or remove an account, a community, or a piece of content if it breaks these terms, exposes us or our users to legal risk, or is being used to defraud people. Where it is reasonable to do so we will tell you why first and give you a chance to fix it; where the harm is serious or ongoing we may act immediately.
If we close a community with paying members, we refund members for time they paid for and did not receive, and may deduct that from the owner's balance.
You may stop using Nadi at any time. Sections that by their nature should survive — content licence for existing backups, fees already owed, disclaimers, liability, governing law — survive termination.
9. Availability
We work to keep Nadi up but do not promise it will be uninterrupted or error-free. We may change, suspend, or discontinue features. If we discontinue something you are actively paying for, we will give you 30 days' notice and a pro-rata refund of the unused part.
10. Disclaimers
Nadi is provided "as is". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Nothing on this platform is professional advice — not financial, legal, medical, or otherwise — and no community's claims about results are endorsed by us. We make no promise that you will earn anything from running a community or learn anything from joining one.
11. Liability
To the extent the law allows, we are not liable for indirect, incidental, special, or consequential loss, or for lost profits, revenue, data, or goodwill, however caused.
Our total liability to you for any claim is capped at whichever is greater: the fees you paid us in the twelve months before the claim, or one hundred units of the currency you were billed in.
Nothing here limits liability that cannot lawfully be limited — including death or personal injury caused by negligence, and fraud. Some jurisdictions do not allow some of these exclusions, in which case they simply do not apply to you.
12. Indemnity
If someone brings a claim against us because of what you posted, what you sold, or how you used the platform, you agree to cover our reasonable costs in dealing with it, provided we tell you about it promptly and let you take part in the defence.
13. Changes to these terms
We will post any material change here and tell account holders at least 30 days before it takes effect. If you do not accept the change, close your account before that date; continuing to use Nadi afterwards means you accept it.
14. Law and disputes
The United Arab Emirates is our country of domicile.
We do not trade with or provide services to anyone on the UN, UAE, US (OFAC), EU and UK sanctions lists, or in Cuba, Iran, North Korea, and Crimea and the so-called DNR and LNR regions, in line with UAE law.
These terms are governed by the law of Dubai, United Arab Emirates, and the courts of Dubai, United Arab Emirates have exclusive jurisdiction — except that if you are a consumer, you keep the protection of the mandatory law of the country you live in and may bring proceedings there.
Please write to support@nadi.online before starting anything formal. Most things are quicker to fix than to litigate.
